Panama IBC incorporation

An internationally recognised vehicle for holding, consulting, licensing and family-office activity, operating under Panama's territorial tax system.


The essentials

The Panama International Business Corporation is a long-established vehicle used to hold assets and carry out consulting, technology, holding, licensing and family-office activities. Its central feature is Panama's territorial tax system: only income generated within Panama is taxed, while foreign-sourced income falls outside the Panamanian tax net.

The process is completed entirely remotely — no travel to Panama is required. Once we have your documents and payment, the company is incorporated and the full document set dispatched within roughly five business days.

  • Territorial taxation — only Panama-sourced income is taxed. Foreign-sourced earnings, including from securities, bank accounts, investments, property transactions and dividends from overseas entities, fall outside the Panamanian tax net.
  • A board of three is mandatory — President, Secretary and Treasurer. They need not be Panamanian nationals or residents, but their names appear in the Public Registry.
  • Fully remote incorporation, with the document set delivered worldwide by courier in approximately five business days.
  • Accounting records must be kept with supporting documentation. Records may be held outside Panama, but a copy must reach us as resident agent each year by 30 April.
  • Beneficial ownership is reported by the resident agent to the Superintendency of Non-Financial Subjects through a private registry accessible only to designated authorities.
  • From fiscal year 2027, entities forming part of a multinational group and receiving foreign-source passive income fall within the economic substance regime of Law 526 of 2026.

Notes and terms

  • Both prices are one-off formation fees exclusive of VAT, and include the first year's government franchise tax and resident agent services.
  • Keeping officers off the public register is a matter of public visibility only. Beneficial ownership is reported to the Superintendency of Non-Financial Subjects, and due diligence documentation must be updated annually, including accounting records, even where the company has had no activity.
  • Meeting the 30 April accounting deadline is the client's responsibility. Non-compliance may result in fines and place the company in non-compliant status.
  • Clients should consult a qualified tax adviser regarding their country of residence, their nationality or citizenship, and the jurisdictions in which the company operates.
